1. Agreement to Terms

By accessing the website or utilizing the freight brokerage services provided by Ej Freight Group, you agree to be bound by these Terms and Conditions, all applicable laws, and regulations. These terms constitute a legally binding agreement between you and Ej Freight Group. If you do not agree with any of these terms, you are prohibited from using or accessing our shipping platform and services.

2. Service Usage and Intellectual Property Rights

Ej Freight Group provides a platform to match shippers with vetted carriers for FTL and LTL shipments. All materials, including software, logos, and proprietary logistics data, are the intellectual property of Ej Freight Group. You are granted a limited license to use our services for legitimate shipping purposes, subject to the following restrictions:

• You may not use our platform to circumvent Ej Freight Group by contacting matched carriers directly to arrange shipments outside of our brokerage services.
• You are prohibited from using any data mining, robots, or similar data gathering and extraction tools to monitor or copy our proprietary rate structures or carrier network information.
• You must not provide fraudulent information regarding freight dimensions, weight, or contents, which could compromise the safety of our carrier partners or violate Department of Transportation (DOT) regulations.

3. Disclaimer and Limitation of Liability

3.1 Broker Status

Ej Freight Group acts solely as a freight broker arranging for the transportation of cargo by independent, authorized third-party motor carriers. Ej Freight Group is not a motor carrier, freight forwarder, or warehouseman, and does not take possession of, transport, load, unload, handle, or store any cargo. Ej Freight Group does not assume the duties, obligations, or liabilities of a carrier under federal or state law.

3.2 "AS IS" Basis

All services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, Ej Freight Group disclaims all warranties, whether express, implied, or statutory, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

3.3 Carrier Responsibility for Cargo

While Ej Freight Group exercises reasonable care to vet carriers for proper operating authority, insurance, and safety records, the selected motor carrier—not Ej Freight Group—is solely responsible for the cargo from the time of pickup to delivery. Liability for any loss of, damage to, or delay of cargo rests with the carrier, generally pursuant to the Carmack Amendment (49 U.S.C. § 14706) and the terms of the carrier's bill of lading. Any claims for cargo loss, damage, or delay must be filed directly against the responsible carrier.

3.4 No Liability for Carrier Acts or Omissions

Ej Freight Group is not liable for the acts, omissions, negligence, or misconduct of any carrier, driver, or other third party, nor for events outside its reasonable control, including but not limited to theft, accidents, equipment failure, route conditions, or carrier insolvency.

3.5 Negligent Selection Acknowledgment

The customer acknowledges that Ej Freight Group's selection of any carrier is based solely on information available at the time of booking, including the carrier's operating authority, insurance certificates, and safety data. Ej Freight Group does not guarantee, warrant, or insure the future performance, conduct, fitness, or safety of any carrier or driver, and shall not be liable for any claim arising from carrier selection, including claims of negligent selection, negligent hiring, or negligent retention, to the maximum extent permitted by law. The customer agrees that carrier selection does not create any duty owed by Ej Freight Group to third parties.

3.6 Limitation of Liability

To the maximum extent permitted by law, Ej Freight Group shall not be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, including but not limited to loss of profits, loss of revenue, loss of goodwill, business interruption, or loss of data, arising out of or relating to the use of our logistics services—whether based in contract, tort (including negligence), strict liability, or any other legal theory, and even if Ej Freight Group has been advised of the possibility of such damages.

3.7 Liability Cap

In no event shall Ej Freight Group's total aggregate liability arising out of or relating to any shipment or these terms exceed the greater of (a) the total brokerage fees actually paid to Ej Freight Group for the specific transaction giving rise to the claim, or (b) USD $[______]. This cap applies in the aggregate to all claims of every kind.

3.8 Insurance

Cargo insurance is the responsibility of the customer and/or the carrier. Ej Freight Group does not provide cargo insurance and does not guarantee the adequacy, validity, or collectability of any carrier's insurance coverage. Customers are encouraged to obtain their own all-risk cargo insurance.

3.9 Indemnification

The customer agrees to indemnify, defend, and hold harmless Ej Freight Group and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to the shipment, the customer's breach of these terms, or the customer's violation of any applicable law or regulation.

3.10 Time Limitation for Claims

Any claim against Ej Freight Group must be brought in writing within [____] days of the event giving rise to the claim; otherwise, such claim shall be deemed waived and barred.

3.11 Force Majeure

Ej Freight Group shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, severe weather, war, terrorism, labor disputes, governmental actions, pandemics, or failures of third-party carriers or service providers.

3.12 Governing Law

These terms and any dispute arising out of or relating to them or to the services provided shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles, except to the extent preempted by federal law (including, where applicable, the Carmack Amendment, 49 U.S.C. § 14706, and the FAAAA, 49 U.S.C. § 14501).

3.13 Venue and Jurisdiction

Any legal action or proceeding arising out of or relating to these terms or the services shall be brought exclusively in the state or federal courts located in [County], Virginia, and each party irrevocably consents to the personal jurisdiction and venue of such courts and waives any objection based on inconvenient forum.

3.14 Federal Preemption

The customer acknowledges that Ej Freight Group's brokerage services may be subject to federal regulation by the Federal Motor Carrier Safety Administration (FMCSA) and that certain state-law claims relating to broker services may be preempted by the FAAAA (49 U.S.C. § 14501(c)). Nothing herein waives any preemption defense available to Ej Freight Group.

3.15 Statutory Carve-Out and Severability

Nothing in this Section shall exclude or limit any liability that cannot lawfully be excluded or limited under applicable law. If any provision of this Section is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

4. Governing Law, Jurisdiction, and Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of the United States and the Commonwealth of Virginia, without regard to its conflict of law provisions. Ej Freight Group is registered and operates in Northern Virginia, USA. Any legal action or proceeding related to your access to, or use of, the services shall be instituted in a state or federal court located in Virginia or the jurisdiction where Ej Freight Group maintains its principal place of business.

Both parties agree that any disputes arising from these Terms and Conditions or the use of our services shall first be addressed through good faith negotiation. If negotiation fails, disputes may be subject to binding arbitration in accordance with applicable law, or litigated in the courts of Virginia as described above.

Ej Freight Group reserves the right to modify these terms at any time. We will notify users of any changes by updating the 'effective date' at the top of this page. Your continued use of our services after such modifications will constitute your acknowledgment and acceptance of the modified terms.
